DLA Piper advised Montana Aerospace AG, a manufacturer of complex lightweight components and structures for the aviation industry, on its public offering and listing on the SIX Swiss Exchange.
Montana Aerospace is a manufacturer of system components and complex assemblies for the aerospace, e-mobility and energy sectors. The IPO consisted of the basic offer of 17,153,997 new shares and an over-allotment option for 2,573,099 over-allotment shares from the holdings of Montana Tech Components AG, the previous sole and future majority shareholder. The new shares were placed at an offer price of 25.65 Swiss Francs (CHF), which translates into a market capitalization of the company of approximately 1.2 billion CHF.
The IPO consisted of a public offering to investors in Switzerland and private placements to qualified investors in certain jurisdictions outside of Switzerland, including the United States. The shares are listed in the International Reporting Standard of the SIX Swiss Exchange.
Niederer Kraft Frey advised Berenberg as sole global coordinator with Commerzbank AG and Zürcher Kantonalbank AG as additional joint bookrunners. Linklaters advised the joint bookrunners on the transaction in relation to US law under the leadership of Frankfurt partner Marco Carbonare.
