THQ Nordic’s parent company acquires Gearbox Software, developer of Forbidden Lands, for US$1.3 billion

Embracer Group is a large holding group headquartered in Sweden, formerly known as Nordic Games Publishing AB. After acquiring the THQ brand, it was renamed THQ Nordic AB. Later, to avoid confusion with its subsidiary THQ Nordic GmbH, it was renamed Embracer Group again. Currently, it owns subsidiaries such as THQ Nordic, Saber Interactive, Koch Media, Deep Silver and Coffee Stain Studios.

Gearbox Software is a game developer and publisher established in 1999. It is headquartered in Texas, USA, and has a development studio in Quebec City, Canada, with more than 550 employees. According to official publications, the transaction will be the first to pay a fee of US$363 million, including a newly issued US$175 million EmbrAcer B shares, the remaining part will be paid in cash.Afterwards, according to Gearbox Entertainment’s financial and operating goals for the next 6 years, a maximum of US$1.015 billion will be paid, including a maximum of US$360 million issued Embracer B shares. The maximum payment for the entire transaction is USD 1.378 billion.-

After the completion of the acquisition, Gearbox Software co-founder and CEO Randy Pitchford (Randy Pitchford) will maintain his original position and continue to lead Gearbox, and Randy Pitchford and Gearbox Software employees will together become important to Embracer shareholder.
