SOE Boss Becomes Commissioner of a Subsidiary Don’t Get Paid

Jakarta, CNBC Indonesia – Former Minister of State for the Utilization of State-Owned Enterprises (BUMN) Tanri Abeng suggested that the new BUMN Bill should regulate the position and honorarium of directors who hold concurrent positions.

This was conveyed by Tanri in the Committee Meeting for the Preparation of Academic Manuscripts and the Bill on State-Owned Enterprises with Commission VI of the Indonesian House of Representatives, Wednesday (23/6/2021).

The DPR RI is indeed revising Law Number 19 of 2003 concerning State-Owned Enterprises (BUMN), because the current Act is 17 years old, and is considered no longer in accordance with current conditions.

On this occasion, Tanri was invited as one of the experts who provided input. Tanri is the Minister of State for the Utilization of BUMN for the period March 1998-October 1999, former President Commissioner of PT Pertamina (Persero) and PT Telkom Indonesia (Persero) Tbk (TLKM).

The first input he conveyed was the limitation that SOE directors can only become commissioners or hold concurrent positions up to the limit of subsidiaries. Not to the grandson of the company.

“In this BUMN, there are children and grandchildren, they can be directors in holding goes to grandchildren, so if it is allowed, it should be limited to only their children,” said Tanri, Wednesday (23/6).

The next input is, if the directors of the company holding To become a commissioner in a subsidiary, you should not have to get double honorarium or salary. Because the management of the company has become the duty of the board of directors.

“The second, make sure that there is no honorarium payment double because a director was already paid for it. So if he works downstairs it’s part of his job, it’s not a problem. I think the solution is if I am like that,” he explained.

The issue of concurrent positions in this BUMN has been highlighted by various parties, the latest being from the Business Competition Supervisory Commission (KPPU).

KPPU sent a letter to the Ministry of BUMN regarding the issue of concurrent positions of directors/commissioners of BUMN companies.

Previously, the answer from the Ministry of SOEs stated that they had not received information from KPPU regarding the finding of the issue of concurrent positions of directors/commissioners of SOEs with non-BUMN companies.

“This is a form of advocacy, we have sent a letter in the form of a letter of advice and consideration which is the mandate of the KPPU to the executive and institutions in Indonesia. That there is one finding that we found regarding the regulation of the BUMN Ministerial Regulation which has the potential to be a violation,” explained KPPU Chairman Kodrat Wibowo, in the CNBC Indonesia Profit program, Tuesday (24/3/2021).

From the KPPU’s findings, there are currently three SOE business sectors in which there are SOE directors/commissioners who hold concurrent positions.

They are 31 directors/commissioners who hold concurrent positions in the finance/investment/insurance sector, 12 directors/commissioners in the mining sector, 19 directors/commissioners in the construction sector. There is even 1 personnel who hold concurrent positions in 22 companies.
