Wednesday morning came the news that Mercell buys all the shares in Swedish Visma Commerce for two billion Swedish kroner. The acquisition will be financed through a share issue of NOK 1.3 billion, which is guaranteed by several major shareholders in the company, as well as a bond issue of SEK 1.1 billion.
Mercell has acquired ABG Sundal Collier and Pareto Securities to carry out the issue, which is aimed at Norwegian and international institutional investors. The issue is guaranteed by a consortium consisting of several of the company’s largest shareholders.
The issue price will be determined through a so-called book-building process.
The five-year bond loan of 1.1 billion Swedish kroner has a borrowing limit of two billion. The loan has a floating coupon rate of three months’ Stibor plus 6.0 percentage points.
On Wednesday, the Mercell share jumped 9.8 percent to 11.32 kroner.
