Merger of PGNiG and Orlen. The companies made a decision

As Orlen reported, the company will conduct a public offering of merger shares addressed to PGNiG shareholders, on the basis of the prospectus, after its approval by the Polish Financial Supervision Authority.

Merger of PGNiG and Orlen

The letter of intent on the commencement of the acquisition of PGNiG by PKN Orlen and the State Treasury signed in July 2020. The State Treasury signed a cooperation agreement with Orlen, Lotos and PGNiG regarding the takeover of control by PKN Orlen over Grupa Lotos and PGNiG.

Also in May 2021, PKN Orlen notified the President of the Office of Competition and Consumer Protection of its intention of concentration, consisting in taking direct control over PGNiG. The consent of the Office of Competition and Consumer Protection issued in March 2022. The condition for the transaction is to give up PGNiG’s control over Gas Storage Poland – the operator of gas storage facilities.

PKN Orlen expects the merger with PGNiG to be finalized in October-November.
