[딜사이트 최광석 기자] The eldest son of the late Lim Seong-gi, founder of Hanmi Pharmaceutical, and his second sons, Lim Jong-yoon and Hanmi Pharmaceutical CEO Lim Jong-hoon, have begun legal proceedings against the integration of Hanmi Pharmaceutical Group and OCI Holdings.
According to the industry on the 18th, President Lim Jong-yoon announced on the 17th through his private company Corey Group President Lim’s legal representative was Jipyong Law Firm.
Previously, on the 13th, President Lim said, “I have not received any form of notice, information, or data from the ROK-US side or my family regarding the announcement of Hanmi Science and OCI. I will express my official position after carefully and comprehensively understanding the current situation.” He actually expressed his opposition to integration.
This provisional injunction application requests Hanmi Science to prohibit third-party allocation paid-in capital increase targeting OCI Holdings. OCI Holdings plans to secure 8.4% (6,434,316 shares, worth KRW 240 billion) through a third-party bequest of the 27.03% stake in Hanmi Science to be secured through the integration contract.
As of January 11, President Lim Jong-yoon and President Lim Jong-hoon hold 9.91% (6,935,031 shares) and 10.56% (7,389,428 shares) of Hanmi Science, respectively.
On the 12th, Hanmi Pharmaceutical Group and OCI Holdings signed a contract in which OCI Holdings would secure a 27.03% stake in Hanmi Science, and Hanmi Science Chairman Song Young-sook and President Lim Joo-hyun would acquire a 10.37% stake in OCI Holdings. After the integration between the two groups, President Lim Joo-hyun secured an 8.62% stake in OCI Holdings and became the largest individual shareholder.
