Distributions / dividend resolutions

Innsbruck –

The 102nd ordinary general meeting of shareholders of our company on 10
June 2020 has dividend rights as of December 31, 2019
Share capital of EUR 68,062,500 for the 2019 financial year
Dividend distribution decided as follows:

a.) on each non-voting preference share
Minimum dividend of EUR 0.12 less 27.5% KESt.

The distribution of the minimum dividend in accordance with lit. a.) will take place from June 18, 2020.

Ex dividend trading on the stock exchange from June 16, 2020
Record date: June 17, 2020

b.) under the conditions precedent that
(i) the European Central Bank’s recommendation to refrain from discretionary
Dividend payments (European Central Bank recommendation of March 27
2020 on dividend payments during the COVID 19 pandemic and lifting
Recommendation ECB / 2020/1 [EZB/2020/19] 2020 / C 102 I / 01) on December 31, 2020 or
formerly no longer for the bank for Tirol and Vorarlberg Aktiengesellschaft
is upright and
(ii) none at the time of the above condition precedent
distribution is prohibited by law,

a dividend of EUR 0.12 for each ordinary share entitled to dividends
minus 27.5% sales tax.

The distribution of the dividend in accordance with lit. b.) takes place on the 20th bank working day
Both conditions precedent.
