ECB Approves UniCredit to Take Control of Commerzbank
UniCredit is set to secure control of Commerzbank by the end of the year after the European Central Bank approved the Italian lender raising its stake to 48 percent, giving it roughly 50 percent of the voting rights. Telex reported the transaction overcomes resistance from both the German government and Commerzbank management.
ECB Approves UniCredit Stake Increase
The European Central Bank greenlit the move as UniCredit pushed its shareholding past the 30 percent threshold toward a 48 percent stake. Andrea Orcel of UniCredit, pursued the strategy despite substantial financial, legal, and regulatory hurdles.
By stopping just short of a mandatory 50 percent equity acquisition, Orcel avoided a potential regulatory requirement to buy out Poland’s mBank, which is largely owned by Commerzbank.
Historical Roots and Cross-Border Banking Context
UniCredit is no stranger to the German market, having established a presence there in 2005 through the acquisition of the Bavarian lender HVB. That same HVB network served as the vehicle for UniCredit’s entry into Hungary in 2007, where the institution carved out a prominent role in corporate services and project financing alongside its retail operations.
National governments across Europe have historically shielded domestic banking champions to prevent systemic collapses of the kind witnessed during the 2008 financial crisis. According to the European Central Bank, however, cross-border consolidation can boost efficiency and competitiveness against American banking giants while smoothing out capital flows across the European Union.

Berlin officials remain concerned that prioritising pan-European efficiency could sideline local economic interests. Those worries prompted Commerzbank to restructure its international footprint previously, including the 2021 decision to exit Hungary after nearly 30 years. Erste Bank subsequently absorbed the German lender’s Hungarian corporate services business in 2022, lifting its own corporate lending market share above 10 percent.
Unresolved Questions on Market Integration
With the European Central Bank pushing for integrated financial markets to reduce vulnerability to individual state shocks, the UniCredit-Commerzbank integration tests whether political protectionism can successfully withstand pan-European corporate strategy.
