AI in UC: Who Owns the Data & What Are the Risks?

The rapid integration of generative AI into unified communications (UC) platforms is creating a significant, and largely unaddressed, governance blind spot around data ownership, according to legal and technology experts. Even as organizations readily adopt AI-powered features like automated meeting summaries and transcriptions, the terms governing who owns the data generated – and how it’s used – often remain unclear, potentially exposing companies to legal and strategic risks.

“When a platform like Microsoft Teams or Zoom generates an AI summary of your meeting, who owns that summary? Is it the company that held the meeting? The platform vendor? What happens when that summary is used to train models? These questions aren’t hypothetical – they’re happening right now, and most enterprise contracts don’t address them clearly,” said Aamir Qutub, founder and CEO of Enterprise Monkey, a custom software and AI consultancy.

The ambiguity centers on three key data categories: raw input data such as audio and chat logs, the AI-generated outputs like summaries and transcripts themselves, and the derived data and metadata – behavioral insights and aggregated analytics – created from that input. Ownership can reside with the organization, the UC platform provider, or fall somewhere in between, depending on contractual agreements and data processing stipulations.

Anusha Kovi, a business intelligence engineer with Amazon, explained the nuances. “The ownership question gets complicated fast. A transcript is a record of what was said. A summary is an interpretation. An insight is a derivative function. Who owns each of those is not obvious, and most vendors have written their terms in ways that are deliberately broad. Enterprises that have not read that language carefully, or had counsel review it in the context of AI specifically, are carrying a risk they probably do not know about,” she said.

Qutub identified three recurring areas of concern. First, organizations often assume ownership of meeting transcripts and AI-generated summaries, but vendor terms frequently grant broad licensing rights, potentially allowing reuse of anonymized or aggregated outputs for service improvement. Second, he warned that organizations are essentially contributing intellectual property when their conversations are used to improve a vendor’s AI model, without compensation or consent. Finally, data flows between UC platforms and other enterprise tools – such as HR or CRM systems – further complicate the tracing of ownership.

Many existing UC contracts predate the widespread use of generative AI, focusing on data storage and access rather than the novel uses enabled by AI. This retroactive exposure is a significant issue, Kovi noted. “Most enterprises signed their UC contracts before AI was generating anything worth owning, and nobody went back to update them. That is where the problem starts,” she said.

Terms of service for AI-enabled platforms, and AI addenda to existing agreements, often contain clauses regarding the use of generated data for model training or service improvement, as well as provisions for the reuse of aggregated or anonymized data and rights to derivative works. Data processing agreements should clarify whether AI output is classified as customer data and how it’s treated in relation to raw inputs, and data retention policies should be reviewed to determine storage duration and deletion rights.

The risks extend beyond legal compliance, encompassing reputational and strategic concerns. Deploying AI features without transparency can erode employee trust, particularly if they are unaware of how their data is being used. Customers and clients may also react negatively to unexpected data usage, such as their information being used to train platform models. As transparency becomes a competitive differentiator, robust AI governance in UC is increasingly vital.

reliance on specific vendors for AI-generated insights can create vendor lock-in, making it difficult to transfer knowledge or collaborate across business units. The potential for proprietary AI to become embedded within specific ecosystems presents a strategic challenge.

CIOs, IT leaders, and UC decision-makers should proactively address these risks by asking critical questions about ownership of AI-generated outputs, data portability, and data use for model training. They should also assess whether AI features are opt-in or opt-out, and ensure employees understand the data being generated and captured. When negotiating new UC contracts or reviewing existing ones, leaders should prioritize explicit language regarding data ownership, opt-outs for model training, and data deletion rights.

“The trust dimension is where this gets fascinating for platform strategy,” Kovi argued. “Enterprises are going to start asking harder questions about where their data goes and what vendors are doing with it. The vendors that can answer those questions clearly and contractually are going to have an advantage.”
