Hyperscale Data Inc. Clarifies shareholder Entitlement in Upcoming Divestiture
Hyperscale Data Inc. has provided clarification regarding shareholder entitlements in its upcoming divestiture, emphasizing that only holders of Series F Preferred Stock who actively participate in the exchange offer will receive shares of ACG Common Stock. This exchange will involve the voluntary surrender of Series F Preferred Stock for shares of Class A Common stock and Class B Common Stock of ACG,collectively referred too as “ACG Shares.” Holders of Series C Convertible Preferred Stock will be entitled to ACG Shares on an as-converted basis.
The company stressed that participation in the exchange offer is a prerequisite for becoming a stockholder of ACG post-divestiture.
