Taxation of US LLCs in Germany: Legal Entity Comparison and Tax Liability

Taxation of US LLCs in Germany: Legal Entity Comparison and Tax Liability

October 18, 2026 Lucas Fernandez – World Editor World

German tax authorities decide whether a United States Limited Liability Company operates as a transparent partnership or a corporate entity based entirely on domestic tax law, bypassing foreign designations like the U.S. Disregarded Entity. LLC for German taxation is determined independently of foreign tax treatment, including U.S. “Check The Box” elections. That choice in the United States remains without significance for Germany, meaning two states can treat the same LLC differently while the United States views a sole proprietorship, the tax office can see a corporation, and depending on that determination, the company must remit German trade tax and corporate tax starting from the very first euro, whereas if the same IT consultant bills through a transparent LLC after emigrating, their fees from German B2B clients trigger tax liabilities simply due to domestic utilization under Section 49 Paragraph of the law.

BMF Principles Apply Legal Entity Comparison to LLCs

The Federal Ministry of Finance established the foundational principles for handling U.S. LLCs in a decree issued on March 19, 2004, dictating that classification depends exclusively on domestic German tax law. To evaluate an LLC, the tax office applies the “Rechtstypenvergleich” (legal entity comparison)—a method developed in the 1930s by the former Reichsfinanzhof and maintained as standing jurisprudence by the Federal Supreme Finance Court (Bundesfinanzhof).

Foreign legal capacity and the number of members do not count as distinguishing features.

Federal Supreme Finance Court Rulings

The Federal Supreme Finance Court has reinforced that foreign structures do not dictate domestic outcomes. In a decision on May 18, 2021 (I B 75/20), the court addressed a Colorado LLC featuring a single member, ruling that neither the Disregarded Entity status under U.S. law nor the member count played a role in the German comparison.

In that Colorado case, the court found no serious doubts that the entity resembled a corporation based on the Operating Agreement. Specifically, a manager clause excluded members from running the business unless formally appointed as managers, even though the member and manager happened to be the same individual.
