Ropes & Gray Hosts Private Equity Workshop on MSO Investing
Ropes & Gray announced its San Francisco office will host its annual Private Equity Workshop on November 10, focusing on the legal, regulatory, tax, and commercial considerations of investing in management services organizations.
San Francisco Workshop Features Training and Networking
The afternoon event begins at 4:30 PM with welcome and registration at the firm’s San Francisco location. Workshop Session 1 starts at 5:00 PM, followed by a break at 5:45 PM. Workshop Session 2 runs from 6:00 PM to 6:45 PM, leading directly into a cocktails and networking session.
Attorneys specializing in tax, regulatory matters, executive compensation, and M&A from various offices of the firm will host the training sessions and discussions divided into simultaneous tracks. The curriculum addresses the needs of professionals at varying levels of experience, building on prior workshops that covered incentive equity topics and carve-outs.
MSO Sessions Cover Basic Structures and Tax Considerations
Session 1 offers two parallel options. Track 1, titled “MSOs 101: Understanding the Structure, Economics, and Key Considerations,” features health care partner Christina Bergeron and private equity partner Chau Le providing an overview of the MSO model, including structural, regulatory, and operational features.
Track 2 moves into advanced practice with “Tax Considerations for MSOs: Structuring Issues, Pitfalls, and Emerging Trends,” led by tax partner Benjamin Rogers. Rogers will examine tax structuring considerations, consolidation issues, rollover structuring, and exit planning.
Session 2 expands into three concurrent options. Track 1 focuses on “Executive and Incentive Compensation in MSO Structures: Key Considerations and Best Practices,” led by executive compensation and employee benefits partner Kyle Higley. Higley’s session covers management equity programs and performance-based incentives.
Under Track 2, titled “Professional Services MSOs: Structuring Accounting and Law Firm Transactions,” private equity partners Elizabeth Gallucci and Reed Harasimowicz will examine fee-splitting rules, corporate practice prohibitions, independent professional judgment, state licensing requirements, and the connection between professional governance and equity ownership.
Track 3 returns to Christina Bergeron and Chau Le for "MSOs in Regulated Industries: Structuring Health Care, Architecture and Engineering Transactions." The partners will examine sector-specific considerations, corporate practice restrictions, state regulatory frameworks, and structural adaptations required to comply with distinct professional licensing regimes in health care, architecture, and engineering.
Private equity professionals interested in attending can contact any of the speakers or their usual Ropes & Gray contacts for more information and registration details.
