Competition Commission approves sale of Constantia Emporium

The Competition Commission approved the sale of Constantia Emporium, an upmarket Cape Town neighbourhood shopping centre situated along Ladies Mile Road, to FPG Holdings without any conditions or competition concerns.

The transaction also encompasses an adjacent vacant plot of land, with the regulatory body determining that the acquisition is unlikely to lessen or prevent competition in any market or raise public interest concerns.

Surrounding Retail Footprint Owned by FPG Group

While clearing the transaction without restrictions, the Competition Commission noted that the acquiring entity already holds a substantial footprint in the immediate vicinity. FPG Group owns eight retail centres located within a 15-kilometer radius of the target properties, spanning free-standing local convenience stores, neighborhood centres, a lifestyle centre, and a hyper centre.

FPG Group operates extensively within South Africa’s retail property and franchise sectors. The company previously redeveloped the Bluedowns shopping centre in the Western Cape during 2024 to accommodate increased foot traffic driven by local residential expansion. Beyond property development, the group manages roughly 56 KFC franchise outlets across South Africa through its subsidiary, FPG Foods, primarily operating within the Western Cape following its founding in 1989.

Accelerate Sells Cedar Square to Reduce Debt

The deal structure dictates that while Aristonas acquires the shopping centre and its related income stream, Accelerate retains the right to develop the available bulk of 40,447 square meters, valued at R168.78 million. Accelerate stated that the disposal forms part of an ongoing strategic restructuring programme designed to reduce interest-bearing debt and address liquidity concerns, with proceeds applied directly toward borrowings as the real estate investment trust concentrates its operational focus on the adjacent Fourways Mall.
