CCI approves Xavier Niel’s Vodafone stake and three other deals

October 31, 2026 Emma Walker – News Editor News

The Competition Commission of India approved French telecommunications billionaire Xavier Niel’s 5.1 billion euro acquisition of a 16.2 percent stake in Vodafone Group PLC, clearing a mandatory review triggered by Vodafone’s substantial business presence in the country through its local joint venture, and leaving the transaction to make Niel’s investment vehicle the single largest shareholder in the British telecom major.

Regulatory Clearance for Vega SAS and Vodafone Group

The transaction is being executed through Vega SAS, a French holding company and subsidiary of Maya SAS, which serves as Xavier Niel’s family investment vehicle. Under an agreement first announced in July, Vega SAS is purchasing the 16.2 percent stake from Emirates Telecommunications Group Co PJSC. Although Vega SAS does not have direct business operations in India, the deal required mandatory review by the Indian competition regulator because Vodafone provides fixed-line and mobile telecom services locally through Vodafone Idea Ltd. Under Indian competition laws, global acquisitions crossing specified financial or ownership thresholds require clearance to ensure they do not adversely affect competition in domestic markets.

The investment arrives as Vodafone Group undergoes a major corporate restructuring across its European and African operations. Recently, the firm has parted with its Italian and Spanish operations while finalizing a substantial network consolidation within the UK. The financial structure of the deal involves a cash consideration of around 4.4 billion pounds, equivalent to approximately 5.1 billion euros.

Concurrent Approvals Across Fintech and Renewable Energy Sectors

Alongside the global telecom transaction, the Competition Commission of India approved three domestic deals spanning financial technology, renewable energy, and power infrastructure on October 30, 2026. MIH Payments Holdings BV received regulatory clearance to purchase an equity interest in Navi Ltd within the fintech domain. The acquirer functions as an investment holding vehicle with portfolio companies operating in India and is an indirect wholly owned subsidiary of global investment group Prosus NV. Navi Ltd operates as the holding company of the Navi Group, offering consumer-facing financial products and services through its subsidiaries via a unified mobile application.

In the energy sector, the regulator cleared Aditya Birla Renewables’ acquisition of Solenergi Power from Shell Overseas Investment BV. Functioning as a Mauritius-based holding entity, Solenergi holds key strategic investments in multiple wind and solar energy production businesses situated throughout India. The commission also approved Adani Energy Solutions' acquisition of 100 percent of IntelliSmart Infrastructure from the National Investment and Infrastructure Fund and Energy Efficiency Services Ltd. Both companies specialize in advanced electricity metering infrastructure, while IntelliSmart also deploys smart gas meters.

Four Approved Transactions Involve Significant Capital Outlays

The four approved transactions carry distinct capital outlays and strategic scopes across Indian and international businesses. The Prosus-backed MIH Payments Holdings investment in Navi was reported at approximately 940 crore rupees, while Adani Energy Solutions’ acquisition of IntelliSmart Infrastructure is valued at approximately 3,050 crore rupees. The regulator stated that detailed formal orders for all four transactions would be issued separately.

While the regulatory approvals remove a critical legal hurdle for the participating corporate entities, they do not automatically translate to immediate operational changes or the transfer of governance control. Vega SAS previously described its purchase of the Vodafone stake as a straightforward shareholding investment without governance arrangements.
