Orlen responds to Tusk’s words about the merger with Lotos

During Thursday’s press conference, Tusk criticized Orlen’s management for the decision to sell Lotos petrol stations to Hungarian MOL. Let us remind you that one of the conditions for the approval by the European Commission for the takeover of Lotos by Orlen was the need for foreign entities to repurchase some of the assets of the Tricity concern. The choice fell on the Saudi Aramco concern, which will take over part of the Lotos refinery, and the Hungarian MOL, which in turn will buy some of the gas stations.

Opposition politicians do not like the resale of the assets to the Hungarian company. Donald Tusk has repeatedly accused Orlen of making a mistake in choosing a partner that will take over Lotos fuel stations. The leader of the largest opposition party claims that the Hungarian concern is dependent on the government of Viktor Orban, which in turn favors Vladimir Putin.

– I am asking you, once again, to consider the decision to sell part of the Gdańsk refinery to Hungarian MOL and, consequently, to hand over this part to the influence of the Orban government, still very closely cooperating with Putin, also during the war. Please understand me well, I am talking about it as a man from Gdańsk who knows this situation well. Think about it and stop this action, because it is also an element of our safety in the future – said Tusk during the meeting with the media on Thursday.

Orlen’s answer

The management of the Polish concern responded to the words of the former prime minister. The issued statement emphasized that the company’s main partner in the merger with Lotos is a Saudi concern, not a Hungarian company.

“The basis for the merger of PKN Orlen with the Lotos Group is the agreement with Saudi Aramco. It means the strengthening of PKN Orlen’s relationship with a stable partner, the largest fuel concern in the world, with vast experience and technologies that will enable the further dynamic of the merged concern,” we read in the statement.

Orlen emphasizes that the development of petrochemicals is of key importance for the Polish company, and Lotos will also benefit from it. Cooperation with Saudi Aramco also means an increase in oil supplies, says the management of the concern.

“Deliveries from the Arab direction, after the merger with the Lotos Group, will reach as much as 45% of the total demand of the new ORLEN Group. For the concern, it is a reliable source of crude oil that is qualitatively stable, and from the point of view of the Polish economy, further diversification of supply directions,” it was written.

Cooperation with MOL

Orlen points out that the transaction with MOL concerns only the replacement of stations and opens the Polish concern to enter the Hungarian and Slovak markets.

“The structure of the transaction fully protects us against further uncontrolled disposal of assets by MOL and ensures the stability of the Polish market. 85% of LOTOS shareholders have approved the transaction,” explains the company’s management board.

“The transaction with MOL means the entry of PKN Orlenna into new markets. Through the exchange of assets, we gain 144 petrol stations in Hungary, and we are expanding the network in Slovakia by 41 new facilities. In total, there are as many as 185 stations supporting sales and strengthening the recognition of the Orlen brand” – indicated.
