Airports Group Europe, an indirect subsidiary of the IFM Global Infrastructure Fund, has acquired further shares in Flughafen Wien through acquisitions on the market and now owns more than 40.0 percent (previously just under 40 percent) of the entire share capital of Flughafen Wien. According to the Austrian Takeover Act, the investor is obliged to submit a mandatory offer for all remaining shares in Flughafen Wien Aktiengesellschaft. The offer price of EUR 33.00 per share (price on Monday: EUR 25.6) corresponds to a premium of 25.5 percent compared to the closing price on the last trading day before this announcement (June 10, 2022) and a premium of 21.3% versus the volume weighted average price (VWAP) over the last six months prior to the announcement.

In addition, we have come to appreciate Vienna Airport as a well-managed company in more than seven years as a shareholder “We have decided to acquire additional shares and are able to offer all selling shareholders an attractive price for their shares. The takeover offer is required under Austrian law, however we do not seek majority control over the company. Based on our understanding of the respective long-term investment orientation, expect We do not expect the City of Vienna, the State of Lower Austria or the Employee Foundation to sell their shares.We will continue to work with all stakeholders and support management in developing its strategy for Vienna Airport in the interests of local communities, passengers, airline customers, employees and the business location,” said Werner Kerschl, Executive Director of IFM Investors.
